- "Venue Owner" refers to any User who registers a venue on our platform.
- "Client" refers to any User who searches for venues on our platform.
- "Content" refers to information, text, images, or other material made available through our Services.
3. ACCOUNT REGISTRATION
You are responsible for:
- Providing accurate information when registering
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us of any unauthorized use of your account
When using our Services, you agree not to:
- Violate any applicable law or these Terms
- Provide false information
- Use our Services to interfere with other users
- Submit Content that is unlawful or infringes on others' rights
- Use our Services for any illegal purpose
4. VENUE LISTINGS AND BOOKINGS
4.1 Venue Listings
Venue Owners agree to:
- Provide accurate information about their venues
- Ensure they have the legal right to list the venues
4.2 Venue Booking Process
EventCage operates solely as an introduction service:
- We facilitate the introduction between the Client and the Venue Owner
- All booking negotiations, contracts, and payment collection occur directly between the Venue Owner and Client
- EventCage does not process payments or handle financial transactions through the platform
- We are not a party to agreements between Venue Owners and Clients
- Venue Owners are solely responsible for their own payment collection, terms, and conditions with Clients
4.3 Commission Structure
When a booking is secured through our Services:
- The Venue Owner agrees to pay EventCage a commission fee as specified in the Venue Marketing Agreement
- Venue Owners have the obligation to report all successful bookings that originated through the platform
- The Venue Owner agrees to provide accurate and truthful information regarding bookings and their values
5. INTELLECTUAL PROPERTY
- The Services are owned by EventCage and protected by intellectual property laws
- We grant you a limited license to use our Services as intended
- By submitting Content, you grant us a license to use it in connection with our Services
- You confirm you have the necessary rights to any Content you submit
5.1 Content Removal Rights
EventCage reserves the right, but has no obligation, to:
- Review any Content submitted to our Services
- Remove any Content at any time, for any reason, without notice
- Refuse to display or publish any Content
- Monitor, delete, or remove Content that we determine in our sole discretion violates these Terms or is otherwise objectionable
This includes venue listings, images, descriptions, user reviews, comments, or any other Content on our platform. Removal of Content does not entitle you to any refund or compensation. If your venue listing is removed due to violations of our Terms, any outstanding commission obligations shall remain in effect.
6. AI-POWERED SEARCH
Our Services include AI-powered semantic search functionality:
- Search results are generated through automated processes
- Results may vary based on search criteria and algorithmic factors
- We may use search queries to improve our Services and user experience
7. PAYMENT AND COMMISSION TERMS
7.1 Direct Payment Between Parties
- All payments for venue bookings are made directly between Clients and Venue Owners
- EventCage does not collect, process, or hold any booking payments
- EventCage is not responsible for any payment disputes between Venue Owners and Clients
7.2 Commission Reporting and Payment
Venue Owners agree to:
- Accurately report all bookings resulting from introductions made through our platform
- Provide booking details including date, value, and client information upon request
- Pay the agreed-upon commission for bookings generated through our Services
- Make commission payments within the specified timeframe
- Notify us of any disputes regarding commission within 14 days
7.3 Commission Verification
- EventCage reserves the right to verify booking information
- Venue Owners agree to provide reasonable documentation to confirm booking details when requested
- Intentionally failing to report bookings or providing false information constitutes a material breach of these Terms
8. PRIVACY
Our Privacy Policy describes how we collect, use, and share information. By using our Services, you consent to our data practices as described in our Privacy Policy.
9. DISCLAIMERS AND LIABILITY
- Our Services are provided "as is" without warranties of any kind
- We do not verify venue information or guarantee bookings
- We are not responsible for the actions of Venue Owners or Clients
- To the maximum extent permitted by law, EventCage shall not be liable for indirect, incidental, or consequential damages
- Our aggregate liability shall not exceed £100
10. INDEMNIFICATION
You agree to indemnify and hold harmless EventCage against any claims, liabilities, damages, losses, costs, or expenses arising from:
- Your violation of these Terms
- Your Content
- Your use of our Services
- Your violation of any rights of another person or entity
11. TERM AND TERMINATION
- You may terminate your account at any time
- We may terminate or suspend your account for any reason, including if you breach these Terms
- Upon termination, your right to use our Services will cease
- Any outstanding commissions will remain due and payable
- Any bookings already facilitated through our Services will remain subject to these Terms
12. FORCE MAJEURE
EventCage shall not be liable for any failure to perform due to causes beyond its reasonable control, including acts of God, natural disasters, terrorism, riots, war, fire, power failure, or government restrictions.
13. DISPUTES AND GOVERNING LAW
- These Terms shall be governed by the laws of England and Wales
- Any dispute shall be resolved by the courts of England and Wales
- Any claim must be filed within one year after it arose
14. GENERAL PROVISIONS
14.1 Changes to Terms
We may update these Terms from time to time. Your continued use after changes constitutes acceptance of the revised Terms.
14.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
14.3 Assignment
You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any person or entity without your consent.
14.4 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and EventCage.
